Terms of Service
Introduction
These Terms of Service (“Terms”) govern your access to and use of the Canventra inventory management platform, websites, applications, and related services (collectively, the “Service”) provided by Canventra Technologies (“Canventra”, “we”, “our”, or “us”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
Definitions
- Account means the registered account used to access the Service.
- Customer means the individual, company, organization, or other legal entity that subscribes to the Service.
- User means any individual authorized by a Customer to access the Service.
- Your Data means information, content, records, files, inventory data, customer information, supplier information, and other materials submitted to or stored within the Service by you or your Users.
- Subscription means a paid or free plan granting access to the Service.
Eligibility
You must:
- Be at least 18 years old;
- Have the legal capacity to enter into a binding agreement; and
- If acting on behalf of a business, have authority to bind that business to these Terms.
If you are using the Service on behalf of an organization, references to “you” include that organization.
Accounts and Security
You are responsible for:
- Maintaining the confidentiality of account credentials;
- Ensuring Users comply with these Terms;
- All activities occurring under your Account;
- Providing accurate and current registration information.
You must immediately notify Canventra of any suspected unauthorized access or security breach involving your Account.
Canventra may suspend access to any Account where we reasonably believe a security risk exists.
Subscription Plans and Billing
The Service may be offered under free and paid subscription plans.
Paid subscriptions automatically renew for successive billing periods unless cancelled before renewal.
You authorize Canventra and its payment processor to charge all applicable fees to your designated payment method.
All fees are:
- Quoted in the applicable currency;
- Exclusive of applicable taxes unless stated otherwise; and
- Non-refundable except where required by law.
Canventra may modify pricing at any time by providing reasonable advance notice. New pricing will apply at the next renewal period.
Payments and Failed Charges
Payments are processed by Stripe or other designated payment processors.
If payment cannot be successfully processed, Canventra may:
- Retry payment;
- Suspend access to paid features;
- Downgrade the account;
- Terminate the Subscription after reasonable notice.
You remain responsible for all outstanding charges incurred before termination.
Free Plans, Promotional Access, and Trial Periods
Canventra may offer free plans, trials, promotional credits, beta access, or evaluation accounts.
Such offerings are provided “as is” and may be modified, limited, suspended, or discontinued at any time without liability.
Canventra is not obligated to maintain data stored under free or trial accounts.
Acceptable Use
You agree not to:
- Violate any applicable law or regulation;
- Use the Service for unlawful, fraudulent, or deceptive activities;
- Attempt to gain unauthorized access to systems or accounts;
- Reverse engineer, decompile, copy, modify, or create derivative works from the Service;
- Interfere with the operation or security of the Service;
- Upload malicious code, malware, ransomware, or harmful content;
- Circumvent usage limits or access controls;
- Use the Service to infringe intellectual property rights or privacy rights of others.
Canventra may investigate violations and suspend or terminate access where misuse is detected.
Your Data and Ownership
You retain ownership of Your Data.
You grant Canventra a limited, worldwide, non-exclusive license to host, store, process, transmit, display, and use Your Data solely as necessary to:
- Provide the Service;
- Secure and maintain the Service;
- Perform backups;
- Deliver support;
- Improve Service functionality.
Canventra does not acquire ownership of Your Data.
You represent and warrant that you possess all necessary rights and permissions to submit and use Your Data within the Service.
Data Export and Retention
You may export available data during an active subscription.
Following account termination or cancellation, Canventra may retain data for a limited period consistent with its Privacy Policy.
Unless otherwise required by law, data may be permanently deleted after account closure.
Customers are responsible for maintaining independent backups of critical business information.
Intellectual Property
Canventra and its licensors retain all right, title, and interest in and to:
- The Service;
- Software;
- Documentation;
- User interfaces;
- Branding;
- Logos;
- Trademarks;
- Technology and related intellectual property.
Except for the limited rights expressly granted under these Terms, no rights are transferred to you.
Third-Party Services
The Service may integrate with or rely upon third-party providers including:
- Amazon Web Services (AWS)
- Google Firebase
- Stripe
Third-party services are governed by their own terms and privacy policies.
Canventra is not responsible for the products, services, availability, or conduct of third-party providers.
Service Availability
Canventra will make commercially reasonable efforts to provide reliable access to the Service.
However, Canventra does not guarantee:
- Continuous availability;
- Error-free operation;
- Uninterrupted access;
- Compatibility with all systems.
Scheduled maintenance, emergency maintenance, upgrades, or third-party outages may affect availability.
Beta Features
Canventra may make beta, preview, or experimental features available.
Beta features may contain defects and are provided without warranties of any kind.
Canventra may discontinue beta features at any time.
Confidentiality
Each party agrees to protect confidential information received from the other party using reasonable safeguards.
Confidential information shall not include information that:
- Is publicly available;
- Was lawfully known before disclosure;
- Is independently developed;
- Must be disclosed by law.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
CANVENTRA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY;
- AVAILABILITY.
CANVENTRA DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT SHALL CANVENTRA BE LIABLE FOR:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- SPECIAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- LOSS OF PROFITS;
- LOSS OF REVENUE;
- LOSS OF BUSINESS;
- LOSS OF GOODWILL;
- LOSS OF DATA.
CANVENTRA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO CANVENTRA DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IF NO FEES HAVE BEEN PAID, CANVENTRA’S LIABILITY SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Indemnification
You agree to defend, indemnify, and hold harmless Canventra, its directors, officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, costs, and expenses arising from:
- Your Data;
- Your use of the Service;
- Violation of these Terms;
- Violation of applicable laws;
- Violation of third-party rights.
Force Majeure
Canventra shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including:
- Natural disasters;
- Internet failures;
- Cyberattacks;
- Power outages;
- Government actions;
- Labour disputes;
- Third-party service failures.
Suspension and Termination
Canventra may suspend or terminate access to the Service immediately if:
- You breach these Terms;
- Payment obligations are not met;
- Security concerns arise;
- Required by law;
- Continued access may harm Canventra, other customers, or the Service.
Termination does not relieve you of obligations incurred prior to termination.
Changes to the Service
Canventra may modify, update, replace, suspend, or discontinue any portion of the Service at any time.
Canventra will make reasonable efforts to provide notice of material changes where practical.
Changes to These Terms
Canventra may update these Terms periodically.
Updated Terms become effective when posted unless otherwise specified.
Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
The parties agree that the courts located in Ontario, Canada shall have exclusive jurisdiction over disputes arising from or relating to these Terms, except where mandatory law requires otherwise.
Entire Agreement
These Terms, together with the Privacy Policy and any applicable subscription or order forms, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements and understandings.
Survival
Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, payment obligations, governing law, and any provisions that by their nature should survive termination shall survive termination of these Terms.
